The SEC defines an accredited investor as
- An individual with a net worth, or a couple with a combined net worth (excluding the value of your personal residence), in excess of $1,000,000.
- An individual with an income (exclusive of any income attributable to your spouse) of more than $200,000 in each of the past two years, or joint income with your spouse of more than $300,000 in each of those years, and an expectation to reach the same income level in the current year.
- A non-profit organization, corporation, trust, business trusts or partnership with total assets in excess of $5,000,000 that was not formed for the specific purpose of acquiring the securities offered.
- A corporation, limited liability company, partnership or other entity that is an accredited investor because all of its equity owners are accredited investors. The Kearsedge Boston Group, in its sole discretion, may request information regarding the basis on which such equity owners are accredited.
